1. Introduction
These Terms of Service govern the provision of professional services by Semantiq Ltd (“Semantiq”) to its clients. By engaging Semantiq, the client agrees to these terms unless otherwise agreed in writing.
2. Nature of services
Semantiq provides professional services to support the localisation of regulated policy content. Services may include regulatory definition, regulatory readiness assessment, translation, and legal verification support.
Services are delivered on a document-based professional services basis. Semantiq does not provide a software platform, automated system, or regulatory certification service.
3. Client responsibilities
The client is responsible for:providing accurate and complete source materialsmaking final regulatory, legal, and commercial decisionsdetermining whether outputs are suitable for publication or use
Semantiq does not replace the client’s legal, compliance, or regulatory obligations.
4. Use of third parties
Semantiq may engage third-party service providers, such as translators or legal professionals, to support service delivery. Such providers are engaged on a project basis and operate under appropriate confidentiality, contractual, and professional obligations. Access is limited to information necessary to perform their role.In the course of delivering services,
Semantiq may use AI-assisted tools to support research, comparison, translation, or drafting activities. Such tools are used in a controlled manner to assist human experts and do not operate autonomously. AI outputs are advisory only and are subject to human review and decision-making. Where third-party tools are used, information is processed solely for the purpose of delivering the agreed services.
5. Intellectual property
Unless otherwise agreed in writing:
- the client retains ownership of its source materials
- the client owns the final outputs produced for it
- Semantiq retains ownership of its methodologies, templates, processes, and know-howNothing in these terms transfers ownership of Semantiq’s underlying intellectual property.
6. Confidentiality
Each party agrees to keep confidential any non-public information received from the other in connection with the services and to use such information solely for the purposes of service delivery.This obligation does not apply to information that is lawfully obtained from another source or required to be disclosed by law.
7. No regulatory warranty
Semantiq provides services to support regulatory localisation and decision-making. Semantiq does not warrant or guarantee regulatory approval, compliance, or acceptance by regulators, underwriters, or distribution partners.
8. Limitation of liability
To the maximum extent permitted by law, Semantiq’s liability arising out of or in connection with the services is limited to the fees paid for the relevant services. Semantiq shall not be liable for indirect or consequential losses.
9. Termination
Either party may terminate services in accordance with agreed engagement terms or upon reasonable notice. Upon termination, confidential information shall be returned or deleted as appropriate.
10. Governing law
These Terms of Service are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
